    These Terms and Conditions ("Terms") govern your access to and use of the Heala website, mobile application and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

    Definitions

    In these Terms: "Heala", "we", "us", "our" refers to the merchant identified in the Merchant details section above. "User", "you" refers to any person accessing or using the Platform. "Services" means any products and services offered through the Platform, which may include digital services, subscriptions, appointment booking, telemedicine features, or physical goods, depending on what you enable.

    Eligibility and user responsibilities

    You confirm that you are at least 18 years old (or have valid parental/guardian consent if you are a minor and the law permits such use), and that you have the legal capacity to enter into a binding agreement.

    You agree to provide accurate information, keep your login credentials confidential, and promptly notify us of any unauthorised access to your account.

    Health and medical disclaimer

    Heala may provide health-related content and may facilitate access to healthcare professionals or clinics. Any information provided on the Platform is for general informational purposes only and does not replace professional medical advice, diagnosis, or treatment.

    Do not use the Platform for medical emergencies. If you believe you have an emergency, call your local emergency number or go to the nearest hospital.

    Where telemedicine or consultations are offered, medical decisions remain the responsibility of the licensed healthcare professional and the patient.

    Orders, appointments and service delivery

    When you place an order, subscribe, or book an appointment, you agree to pay the stated price and comply with any stated requirements (including appointment times, eligibility criteria, and required documents).

    We may refuse, cancel, or limit transactions where we reasonably suspect fraud, misuse, or a violation of these Terms. Where we cancel after payment is received, we will process a refund in line with our Refund Policy and applicable law.

    Payments and payment processing

    Payments on the Platform may be processed by Flutterwave and/or other payment partners. We do not store full card details on our servers. Payment processing is subject to the payment provider's terms and policies in addition to these Terms.

    By making a payment, you authorise the payment provider to charge your selected payment method for the total amount shown (including any applicable taxes, fees, or delivery charges).

    You acknowledge that banks and payment providers may impose additional rules or timelines for settlements and refunds.

    Refunds, cancellations and chargebacks

    Refund eligibility and cancellation rules are set out in the Refund / Cancellation Policy.

    If you initiate a chargeback or payment dispute without first contacting us, we may suspend your account while the dispute is investigated. We may share relevant information with Flutterwave, banks, card schemes, and regulators for fraud prevention and dispute resolution.

    Acceptable use and prohibited activities

    You must not:

    • Use the Platform for unlawful, fraudulent, or abusive purposes.
    • Attempt to gain unauthorised access to accounts, systems, or networks.
    • Upload or transmit malware, harmful code, or content that infringes intellectual property rights.
    • Harass, threaten, or violate the rights of other users or third parties.
    • Use the Platform in a way that could damage, disable, or impair its functionality.

    Intellectual property

    All content, trademarks, logos, and software on the Platform are owned by or licensed to Heala and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission, except where permitted by law.

    Third-party services and links

    The Platform may contain links to third-party websites or services (including payment providers). We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

    Disclaimer of warranties

    To the fullest extent permitted by law, the Platform and Services are provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.

    Limitation of liability

    To the fullest extent permitted by Nigerian law, Heala will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

    Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

    Indemnity

    You agree to indemnify and hold harmless Heala, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

    Termination

    We may suspend or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms, engaged in fraud, or created risk for other users, Heala, or our partners. You may stop using the Platform at any time.

    Governing law and dispute resolution

    These Terms are governed by the laws of the Federal Republic of Nigeria.

    If a dispute arises, the parties will first attempt to resolve it by good-faith negotiations within 14 days of a written notice. If unresolved, the dispute may be referred to arbitration under the Arbitration and Mediation Act 2023. Seat of arbitration: Lagos, Nigeria (unless we agree otherwise). Language: English. A competent court may be approached for injunctive relief where necessary.

    Changes to these Terms

    We may update these Terms from time to time to reflect changes to our Services, legal requirements, or business practices. We will post the updated version on our Platform and update the "Last updated" date above. Continued use of the Platform after changes become effective means you accept the updated Terms.
